Mr. Rainer’s practice involves representation of public companies and their officers and boards in connection with corporate compliance matters and securities litigation, representation of health care clients in antitrust matters and medical staff disputes, antitrust litigation and representation of clients in a broad range of commercial litigation and bankruptcy matters. He has a wide range of litigation experience including class actions, derivative suits, RICO claims, government (SEC, FTC and Department of Justice) investigations, arbitration and mediation. He has litigated cases involving, among other things, mergers, joint ventures, accounting restatements, accounting malpractice, breach of fiduciary duty, employment disputes and restrictive covenants, fraud, misappropriation of corporate opportunities, insurance coverage issues, and disputes involving breach of contract and commercial torts.

Trials

In his thirty plus years of practice, Mr. Rainer has tried numerous jury and bench trials in state and federal courts, bankruptcy courts and various administrative tribunals.

Appellate Practice

Mr. Rainer has been lead counsel on and argued appeals before the Fourth, Fifth, and Eleventh Circuits and the Georgia Supreme Court and has briefed appellate cases in numerous federal circuits and state appellate courts.

Corporate Compliance

Mr. Rainer consults with public companies and boards of directors regarding corporate compliance and Sarbanes-Oxley issues and has consulted with corporate boards and assisted in connection with internal investigations.
